Gaz de France and Centrica acquire Société de Production d’Electricité

Gaz de France and Centrica announce that they have finalized the acquisition of a 51% stake in the capital of the Belgian company Société de Production d'Electricité (SPE). Within the framework of this operation, Luminus, a company selling natural gas and electricity in Flander, and ALG Négoce, a natural gas marketing company based in Liège, will be incorporated within SPE.

In March 2005, Gaz de France and its partner Centrica began exclusive negotiations with SPE with a view to jointly acquiring a majority stake in its capital. On June 24, 2005, the three companies signed an acquisition agreement and on September 7, the European competition authorities gave their unconditional go-ahead for this operation.

This acquisition, representing a total outlay of €247m for Gaz de France, enables the Group to develop its positions in the production of electricity and the marketing of energy, gas and electricity, in the Belgian market. SPE is currently the second largest producer of electricity in Belgium with a market share of almost 10% and a network of mainly gas-fired power stations.
